Terms of Service

1. Acceptance of Terms

By accessing or using the TRK Health platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a binding agreement between you and TRK Health, LLC ("Company," "we," "us," or "our").

2. Description of Service

TRK Health is a cloud-based clinical operations and outcome-tracking platform provided to licensed medical practices and their authorized clinical and administrative staff. The Platform facilitates episode-of-care tracking, operational analytics, care coordination, outcome measurement, and secure communication among authorized personnel, and may integrate with electronic medical record (EMR) systems via the SMART on FHIR standard.

3. Eligibility and Authorized Use

Access is limited to authorized users designated by a licensed medical practice or organization. You must be at least 18 years of age and employed or contracted by an authorized organization. You may not share credentials or permit unauthorized access to your account.

4. HIPAA Compliance

TRK Health operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). All protected health information (PHI) entered into or accessed through the Platform is subject to our Business Associate Agreement (BAA) with your organization. You are responsible for using the Platform in a manner consistent with your organization's HIPAA obligations.

5. Acceptable Use

You agree not to: (a) access PHI beyond the scope of your authorized role; (b) share, export, or transmit PHI outside the Platform except as permitted by applicable law; (c) attempt to circumvent security controls or access restrictions; (d) use the Platform for any unlawful purpose; or (e) reverse engineer, decompile, or modify any portion of the Platform.

6. Patient Communications

The Platform sends transactional communications to patients by email, text message, or facsimile on behalf of your organization. Your organization is responsible for obtaining and recording valid patient consent before any such communication is sent, and for ensuring the accuracy of patient contact information. Consent must not be a condition of treatment. You are responsible for honoring opt-out requests received outside the Platform and for reflecting them in the patient record.

7. Clinical Disclaimer

TRK Health is a documentation, coordination, and measurement tool. It does not provide medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of licensed healthcare professionals. The Platform does not replace clinical judgment.

8. Data Ownership

All patient and clinical data entered into the Platform remains the property of the applicable organization. TRK Health, LLC does not sell, license, or share identifiable health data with third parties except as required to provide the service or as required by law.

9. Availability and Modifications

We strive for continuous availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any feature of the Platform with reasonable notice. We may update these Terms at any time; continued use constitutes acceptance of updated Terms.

10. Limitation of Liability

To the maximum extent permitted by law, TRK Health, LLC shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Platform. Our total liability shall not exceed the fees paid by your organization in the twelve months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Collier County, Florida.
